In the late 1990's, the Texas legislature created ERCOT as a not-for-profit quasi-government entity to enable the deregulation of the Texas electric utility industry. With deregulation, electric utilities no longer had an obligation to generate sufficient energy to meet consumer demand. It was assumed that the competitive market, enabled by ERCOT, would adequately replace that obligation.

The legislature set up ERCOT to be governed solely by a combination of government and business guidelines adopted by entities with a "stake" in its activities. That governance evolved into a political quagmire of self-interests and dereliction with Texas consumers having only a minority vote in the ERCOT agenda.
